Colin Bird, HND Mining Engineering; Chartered Engineer; Fellow of the Institute of Mining and Metallurgy, Chairman (aged 64) Mr. Bird has over 40 years of experience in the mining industry. In addition to being Chief Executive Officer at Jubilee Platinum PLC, he is currently the the Managing Director of Lion Mining Finance Limited. Between 1974 and 1979 Mr. Bird worked in coal mine management for Anglo American Coal, where he worked on planning and operations. From 1979 to 1984 Mr. Bird was the Mining Manager of the Selebi Phikwe Nickel Copper Mine, jointly owned by Anglo American, Amax and the Botswana Government, where he held the statutory responsibility for the entire operation including the concentrator and smelter. In 1987 Mr. Bird joined Costain Mining as a General Manager, being appointed Technical/Operations Director soon there after. At Costain Mining Mr. Bird was responsible for Costain’s gold, industrial minerals and coal interests in Spain, Argentina and Venezuela together with responsibility for new mining business development. In 1989 Mr. Bird joined Plateau Mining PLC as a Managing Director and in 1993 he joined Petromin Saudi Arabia to manage their mining activities. Peter Vivian-Neal, Chief Executive (aged 51) Experience in structured finance and of investment transactions within Africa - initially as a part of debt conversion programmes for Hogg Robinson PLC, Oxford Investments Ltd and Magna Mercantile Ltd. From 1998 has acted as a sub-saharan Africa resource focused consultant, which has included being an adviser to DRC Government; the management of gold and diamond acquisitions in Guinea and Sierra Leone and the use of local phosphates for domestic fertilizer in Zambia. Managed Lion Mining Finance and AfMinCo Ltd’s bid for Zambia’s Muliashi Copper Oxide deposit in 2005 for which as ‘preferred bidder’ a commitment agreement was executed. Raju Samtani BA Hons, CIMA, Finance Director (aged 38) Previous experience includes three years as the Group Financial Controller at marketing services agency - WTS Group Limited, where he was appointed by the Virgin Group to oversee their investment in the WTS Group Ltd. More recently he has been Finance Manager of several AIM quoted companies predominantly in the resource sector and is also involved in FSA compliance work within the investment business sector. J Richard Wollenberg, Non-Executive Director (aged 58) Mr. Wollenberg is Chairman and Chief Executive Officer of The Cardiff Property Public Limited Company a quoted property investment and development company. Since his appointment in 1981, he has substantially increased the asset base of the company. He has over the past 25 years been actively involved in corporate acquisitions, mergers and capital re-organisations of public and private companies. Between 1981 and 1996 he was an investment consultant with Brown Shipley Stockbroking Limited. In January 1997 as Chairman of BDA Holdings Plc, he successfully completed a reverse takeover of Edge Properties Plc, subsequently acquired by Grantchester Plc. In 1998 as Chairman of General Industries Plc an AIM-listed company he negotiated the reverse takeover of social housing consultants HACAS Limited which was acquired by Tribal Group Plc in August 2003. In 2000 and 2006 he negotiated the reverse takeover and subsequent listing on AIM of The Celltalk Group Plc (now Wadharma Investments PLC) and ImmuPharma Plc respectively. In 2006 as Chairman he floated General Industries Plc on PLUS Markets. The Honourable Severine Kazenene, Non-Executive Director (aged 63) The Honourable Severine Kazenene is currently Managing Director and majority shareholder in LM Engineering, which co-owns Kalumbila Minerals via the joint venture with Kiwara; he is chairman of Kalumbila Minerals. He was previously a Member of Parliament in Zambia, for the Chingola Constituency from 2001 to 2006 during which time he held a number of ministerial positions and was Minister of Copper Belt Province from September 2004 to October 2005. He has wide regional mining knowledge as well as general business knowledge of Zambia and in particular of the Copper Belt Province. Christopher Molefe, Non-Executive Director (aged 60) Mr. Molefe was formally Chief Executive of Royal Bafokeng Resources (Pty) Ltd and is presently non-executive chairman of Merafe Resources Ltd and non-executive director of Jubilee Platinum Plc both publicly listed companies. Mr Molefe is also a director of Nishati – Marven Technology (Pty) Ltd, a company based in Sandton, Johannesburg. |
Audit Committee |
An Audit Committee, comprising Richard Wollenberg and Raju Samtani (Company Secretary), has been established by the Company. The Audit Committee is chaired by Richard Wollenberg and meets at least two times each year. The Audit Committee reviews the Company's annual and interim financial statements before submission to the Board for approval. The committee also reviews regular reports from management and external auditors on accounting and internal control matters. Where appropriate, the committee monitors the progress of action taken in relation to such matters. The committee also recommends the appointment of, and reviews the fees, of the external auditors. |
Remuneration Committee |
The Company has in addition established a Remuneration Committee, comprising Richard Wollenberg and Raju Samtani (Company Secretary). The Remuneration Committee is chaired by Richard Wollenberg. The Committee is responsible for reviewing the performance of the executive Directors and for setting the scale and structure of their remuneration, determining the payment of bonuses, considering the grant of options under any share option scheme and, in particular, the price per share and the application of performance standards which may apply to any such grant, paying due regard to the interests of shareholders as a whole and the performance of the Company. |
Technical Management |
Kalumbila Minerals Ltd has a technical management committee, chaired by the CEO and whose members include Colin Bird (HND Mining Engineering), Neil Gardyne (B.Sc. Hons (Geology), CEO of Decorum SA, the Company’s project Geologist, currently Maliro Banda, and Company’s consulting Geologist. |

Kiwara has a full time CEO and a total of four part time staff. Kiwara Resources (Zambia) Ltd, in its role of manager of Kalumbila has 2 full time employees. Kalumbila Minerals has a current work force of 58. |
